As a foreigner, can I own my own business premises?
Generally, as a foreigner, unless you’re a US citizen, foreign individuals cannot own commercial property by their names directly in Thailand. However, it’s far common to set up Thai Limited Companies to get hold of commercial property.
While office condominiums can be also an option for individual buyers under the Condominium Act, as same as it goes with condos, providing a 49% foreign quota, most of these kinds of projects were built during the 90s which only make up 20% to 25% of the total supply, and almost no new ones coming up in recent years.
In short, if you wish to invest in commercial real estate as a foreigner in Pattaya, setting up a Thai company is a good idea.
Commercial Lease Agreements in Thailand
In general, foreigners are allowed to entitle to long-term leasing for commercial or industrial purposes in Thailand with a maximum term of 30-50 years with an option of renewal, but the extension must not exceed the 30-50 initial term from the date of renewal when they meet the requirements under the government policy. In the case of commercial property for small businesses like shops or restaurants, often a lease term of 5 years is offered, but this often means a 3-year rental term with an option for another 2-year renewal to avoid registration and taxes. But please keep in mind that if the leasing exceeding 3 years is not registered with the Land Department, only the first 3 years are enforceable by legal action.
Annual charges for a commercial property
According to the current Land and Building Tax rates, which have been in place since 2020, for the owners who own the land or property for commercial purposes, the tax rate is from 0.3%-0.7% depending on the appraisal value of the land or property. Plus, depending on whether the property is registered under the name of an individual or a Thai company, the rental income is subject to personal income tax or corporate income tax.
